NMN Program Terms
– Points, Levels & Reward Hub for Users (B2C)

1. Scope and Purpose
These program terms govern the NMN points, level and referral program as well as the conditions of the Reward Hub for private individuals (“Users”) who use the NearMeNow app for non-commercial purposes.
The program aims to encourage engagement within the app, reward active usage, provide a transparent level system and enable the redemption of points within the Reward Hub. Participation is voluntary and free of charge.
2. NMN Points and Lifetime XP
a) General principle
NMN points are not a means of payment, have no monetary value, are non-transferable and cannot be sold or paid out. They are intended exclusively for use within the NMN platform.
b) Lifetime XP
In addition to the available point balance, NearMeNow records so-called “Lifetime XP”. Lifetime XP reflect the total historical engagement on the platform. They are used exclusively to determine the level status. Lifetime XP do not expire.
3. Earning Points
Users may earn NMN points, among other things, through registration and onboarding, profile completion, referrals, bookings or interactions, and long-term activity milestones.
The specific structure, point values and conditions may change depending on the product phase (e.g. pre-launch, launch). There is no entitlement to receive points for a specific action. NearMeNow may adjust point values and mechanisms at any time for future actions.
4. Level System
The level status is based on accumulated Lifetime XP. Levels are personal, non-transferable and do not expire.
Level names, thresholds and potential benefits may be adjusted. A level does not create any entitlement to specific rewards or services.
5. Available Points and Expiration
Available points expire 18 months after they are earned (starting from the full app launch). Expiration occurs on a rolling basis per point allocation. Expired points are removed automatically. Lifetime XP and level status remain unaffected. Failure to receive a notification does not prevent expiration.
6. Reward Hub (B2C)
a) Function of the Reward Hub
The Reward Hub is a digital intermediary platform within the NearMeNow app through which users can redeem NMN points for offers or benefits from local partners.
NearMeNow does not operate its own online shop and does not sell offers itself unless explicitly stated otherwise.
b) Role of NearMeNow
NearMeNow acts solely as a technical platform and intermediary. Contracts regarding redeemed offers are concluded directly between the user and the respective Reward Partner.
c) Responsibility of Reward Partners
Reward Partners are solely responsible for the content, legality and accuracy of their offers, compliance with statutory information obligations and the fulfillment of the offered services.
d) No digital services provided by NearMeNow
NMN points can only be redeemed for partner offers displayed in the Reward Hub. Redemption for digital content or monetary services provided by NearMeNow itself is not possible.
e) No guarantee and availability
There is no entitlement to a specific number of offers, the permanent availability of individual offers or a specific value in exchange for points. Offers may be changed or removed at any time.
f) Offer conditions
Reward Hub offers may be subject to additional conditions defined by the respective partner (e.g. minimum spend, age restrictions or regional limitations). These conditions will be displayed in the app where possible.
7. Referral Program
Users may refer other users or businesses.
A referral is only valid if registration takes place via a unique referral link or code, the account is new and the required onboarding steps have been completed.
The type and scope of the reward (for example in the form of NMN points or other program-related benefits within the platform) are displayed within the app and may be adjusted.
Rewards are granted only after successful validation. There is no legally enforceable claim to a specific referral reward. Self-referrals, duplicate accounts or other forms of manipulation are prohibited.
8. Misuse and Sanctions
In the event of misuse, NearMeNow may in particular withhold or remove points, restrict participation in the program and suspend or terminate accounts.
This applies in particular to fake or duplicate accounts, artificial referral networks or manipulation of technical systems. Measures may be taken without prior notice if necessary.
9. Changes and Termination
a) Changes to the program and the Reward Hub
NearMeNow may change, suspend or discontinue the points and level system, the referral program as well as the Reward Hub or individual components thereof at any time for the future.
This applies in particular to point values, level thresholds, redemption mechanisms, individual offers or offer categories within the Reward Hub as well as the provision of the Reward Hub as a whole. Lifetime XP that have already been achieved or confirmed levels will not be revoked retroactively. Changes or termination of individual offers or the Reward Hub as a whole do not create any entitlement to continuation, replacement or compensation.
NMN points that have already been earned and have not yet expired remain unaffected by changes or termination of the program. In the event of a complete termination of the program, an appropriate period will be granted for redeeming existing points.
Lifetime XP that have already been achieved or confirmed levels will not be revoked retroactively. Confirmed redemptions remain unaffected.
Continued use of the platform constitutes acceptance of the updated terms.
b) Account termination and consequences
Upon termination or deletion of a user account, all remaining unused NMN points expire, Lifetime XP and level status are deleted and there is no entitlement to transfer, payout or compensation.
Restoration after account deletion is excluded.
10. Liability
The program is provided within the limits of applicable law. NearMeNow assumes no guarantee for permanent availability, unchanged point values or the continued existence of individual rewards. Mandatory statutory liability provisions remain unaffected.
11. Interpretation Clause
In the event of discrepancies or interpretation issues between different language versions of this document, the German version of the document shall prevail.

The program aims to encourage engagement on the platform, reward active participation, reflect a transparent partnership status and enable internal platform benefits through the redemption of points. Participation is voluntary and independent of any existing subscription agreements.
2. NMN Points and Lifetime XP
a) General principle
NMN points are not a means of payment, have no monetary value, are non-transferable and cannot be sold or paid out. They are intended exclusively for use within the NMN platform.
b) Lifetime XP
In addition to the available point balance, NearMeNow records so-called “Lifetime XP”. Lifetime XP reflect the total historical engagement on the platform. They are used exclusively to determine the partner level status. Lifetime XP do not expire.
3. Earning Points
Partners may earn NMN points, among other things, through: onboarding and verification, profile completion, publishing events, using specific platform features, referrals, long-term platform activity.
The specific structure and point values may be adjusted at any time. Collecting points does not create any entitlement to reach, visibility or economic success.
4. Partner Level System
Partner levels reflect engagement and contribution to the platform and are based on NMN Lifetime XP. Levels are company-related, are not transferable and do not expire. Levels do not create any entitlement to specific performance, reach or revenue. Level names, thresholds, visual badges or status indicators are not fixed and may be adjusted by NearMeNow.
5. Available Points and Expiration
Available points expire 18 months after they were earned (starting from the full app launch). Lifetime XP and level status remain unaffected. There is no entitlement to restore expired points.
6. B2B Reward Hub
a) Basic principle
Partners may redeem available NMN points for internal platform services defined by NearMeNow. These may include: promotion credits, temporary feature unlocks, visibility upgrades,internal platform advantages
b) Determination of redemption mechanics
The type, scope and point value of internal benefits are determined solely by NearMeNow. There is no entitlement to a specific redemption format, permanent availability or economic success.
c) No compensation
The provision of internal platform benefits does not create any claim for payment, reimbursement or compensation.
7. Provision of Reward Hub Offers by Partners
a) Independence from the points system and subscription model
Publishing offers in the Reward Hub is generally independent of whether a partner collects or redeems NMN points or has reached a certain level status.
Offers may – where technically possible – be published both with a basic profile and within paid subscriptions.
A paid subscription does not create any entitlement to preferred placement, special highlighting, guaranteed reach or economic success within the Reward Hub.
Where paid subscriptions include additional functions or visibility options, these relate exclusively to the specifically described services. The contractual conditions of paid subscriptions are governed exclusively by the B2B Terms and Conditions.
b) General principle
Partners may provide NearMeNow offers or benefits for users to redeem in the Reward Hub.
NearMeNow will generally display these offers in the Reward Hub, provided they comply with the technical requirements, platform guidelines, and applicable legal regulations.
NearMeNow reserves the right to review offers prior to publication and to reject them or remove them at a later stage, particularly if they violate legal requirements, platform guidelines, or quality standards.
There is no entitlement to a specific placement, visibility, or permanent availability of an offer.
c) Responsibility for Content
Partners are solely responsible for the accuracy of the content, legal compliance, compliance with statutory information obligations, proper fulfillment of the offered services. NearMeNow assumes no liability for the content, quality or execution of the offered services.
d) Editorial review
NearMeNow reserves the right to review, reject, edit or remove offers before or after publication, in particular in cases of violations of legal requirements, violations of platform guidelines, quality deficiencies, misuse, misleading content.
e) Determination of point value and economic responsibility
The partner independently determines the type, scope and economic content of the offer provided in the Reward Hub.The NMN point value required for an offer is determined within the Reward Hub system and displayed transparently before publication.
Publication of an offer takes place only after the partner has agreed to the respective point value.
The partner bears full economic responsibility for the service provided.
Unless explicitly agreed otherwise, no reimbursement, compensation or economic payment is made by NearMeNow.
If a paid service is booked via the Reward Hub, payment processing takes place via an external payment service provider in the name and on behalf of the partner.
NearMeNow is not the payment recipient and assumes no responsibility for payment processing or payment risks.
NearMeNow may adjust point values for future redemptions. Already confirmed redemptions remain unaffected.
f) No compensation
Providing an offer in the Reward Hub does not create any entitlement to payment, reimbursement or other economic consideration from NearMeNow unless explicitly agreed otherwise.
g) Labeling
Offers may be labeled as such within the Reward Hub.
h) No minimum redemption guarantee
NearMeNow does not guarantee a certain number of redemptions or a specific level of user participation within the Reward Hub.
8. Referral Program
Partners may refer other companies or users. A referral is only valid if registration occurs via a unique referral link or code, the account is new and the required onboarding steps have been completed.
The type and scope of the reward (e.g. NMN points or other program-related platform benefits) are displayed within the app and may be adjusted. Rewards are granted only after successful validation. There is no legally enforceable claim to a specific referral reward. Self-referrals, duplicate accounts or any form of manipulation are prohibited.
9. Misuse and Compliance
In case of violations, NearMeNow may in particular remove points, reduce visibility, restrict functions, terminate partner accounts. This applies especially in cases of misleading business profiles, artificial activity, event spam, misuse of promotion tools
10. Independence from Subscriptions
The NMN program does not replace paid subscriptions, does not modify contractual main services and does not create any exclusivity relationship. Trial phases, subscriptions and payment conditions are governed exclusively by the Partner Terms and Conditions.
11. Changes and Termination
a) Changes to the program and the Reward Hub (B2B)
NearMeNow may change, suspend or discontinue the points and level system, the referral program, internal platform benefits as well as the Reward Hub or individual components thereof at any time with effect for the future.This includes in particular point values, level thresholds, redemption mechanisms, internal platform benefits, individual offers or offer categories within the Reward Hub, the ability for partners to provide offers
and the Reward Hub as a whole.
NMN points that have already been earned and have not yet expired remain unaffected by changes or termination of the program. In the event of a complete termination of the program, an appropriate period for redeeming existing points will be granted. Already earned Lifetime XP or confirmed levels will not be revoked retroactively. Confirmed redemptions remain unaffected.
Changes or termination of individual functions, offers or the Reward Hub do not create any entitlement to continuation, replacement, specific visibility or economic compensation. Continued use of the platform constitutes acceptance of the updated terms.
b) Account termination and consequences
Upon termination or deletion of a partner account all remaining unused NMN points expire, Lifetime XP and level status are deleted and there is no entitlement to transfer, payout or compensation
